Terms of Service

These Terms of Service ("Terms") govern the use of all services, platforms, and digital resources operated by JEGRONA Engineering Solution PLC ("JEGRONA," "the Company," "we," or "our"), including jegrona.com and JegTechnicalBid.com. By accessing or using any JEGRONA service, you agree to be bound by these Terms. If you do not agree, do not use our services.
Section 01

Acceptance of Terms

By accessing JEGRONA websites, submitting an inquiry, requesting a consultation, or engaging with any JEGRONA service platform, you ("Client," "User," or "You") confirm that:

  1. You have read, understood, and agree to be legally bound by these Terms of Service in their entirety
  2. You are accessing JEGRONA services on behalf of a legally registered organization or in your capacity as an individual professional
  3. You have the legal authority to enter into this agreement on behalf of the organization you represent
  4. You are of legal age to enter into binding contractual agreements under applicable law
  5. Your use of JEGRONA services complies with all applicable laws and regulations of the Federal Democratic Republic of Ethiopia
Binding Agreement Notice These Terms constitute a legally binding agreement between you and JEGRONA Engineering Solution PLC. Continued use of any JEGRONA service following any update to these Terms constitutes acceptance of the revised Terms.

Section 02

Service Description

JEGRONA Engineering Solution PLC provides professional procurement support services designed to assist organizations in understanding and preparing public tender submissions for Ethiopian government procurement processes. Our services include, but are not limited to:

  • Tender Documentation Review: Professional analysis of tender documents to identify structure, requirements, and compliance gaps
  • Technical Submission Guidance: Structured guidance on the preparation and organization of technical bid packages
  • Procurement Consultation: Professional advisory services relating to Ethiopian public procurement requirements and processes
  • Compliance & Qualification Review: Assessment of organizational documents for procurement eligibility requirements
  • Digital Platform Services: Technology-enabled service delivery through JegTechnicalBid.com and future JEGRONA ecosystem platforms
Service Nature Clarification JEGRONA services are professional guidance and review services. JEGRONA does not act as a legal representative, licensed procurement agent, or guarantor of bid award outcomes. All service deliverables are provided as professional operational guidance only.

The specific scope, deliverables, and terms of individual service engagements will be confirmed through a formal service agreement or written correspondence prior to service commencement.


Section 03

Eligibility & Access

JEGRONA services are offered exclusively to legally registered business entities, professional organizations, and institutional clients with legitimate procurement participation interests. Use of JEGRONA services is subject to the following eligibility requirements:

  • Legal registration as a business entity under applicable national law
  • Engagement in lawful commercial or institutional activities related to public procurement
  • Compliance with all applicable Ethiopian procurement regulations and professional conduct standards
  • Provision of accurate organizational information during service registration or inquiry submission

JEGRONA reserves the right to decline service to any organization or individual at its sole discretion, including where eligibility requirements are not met or where service provision would conflict with applicable law or JEGRONA's operational standards.


Section 04

Acceptable Use of Services

JEGRONA grants clients a limited, non-exclusive right to access and use its services solely for the client's lawful professional procurement participation purposes. The following conduct is expressly prohibited:

4.1 — Prohibited Conduct
  1. Using JEGRONA services to assist in fraudulent, deceptive, or non-compliant procurement activities
  2. Submitting false, misleading, or fabricated organizational or qualification information
  3. Reproducing, distributing, or commercially exploiting JEGRONA service deliverables without written authorization
  4. Reverse-engineering, copying, or replicating JEGRONA platform functionality or proprietary methodologies
  5. Engaging in any activity that disrupts, damages, or impairs JEGRONA's digital platforms or service operations
  6. Using JEGRONA services for purposes other than those disclosed at the time of service engagement
  7. Sharing access credentials, service deliverables, or proprietary JEGRONA materials with unauthorized third parties
4.2 — Compliance Obligation

Clients are solely responsible for ensuring that their use of JEGRONA services and any resulting tender submissions comply with all applicable Ethiopian public procurement laws, regulations, and institutional requirements. JEGRONA's guidance does not constitute legal advice or a guarantee of procurement compliance.


Section 05

Service Fees & Payment

Service fees for JEGRONA engagements are established on a per-engagement basis and communicated in writing prior to service commencement. The following conditions apply to all fee arrangements:

  • All fees are quoted in Ethiopian Birr (ETB) unless otherwise agreed in writing
  • Payment terms and schedules are specified in individual service agreements or formal quotations
  • JEGRONA reserves the right to require advance payment or deposit for certain service categories
  • Service delivery is conditional upon receipt of agreed fees in accordance with payment terms
  • Fees paid for completed service phases are non-refundable unless JEGRONA has materially failed to deliver the agreed scope
  • Applicable taxes and levies required by Ethiopian law shall be added to all invoiced amounts

Disputes regarding service fees must be raised in writing within 14 calendar days of invoice receipt. Undisputed invoice amounts remain due in accordance with agreed payment terms.


Section 06

Intellectual Property

All intellectual property developed by, owned by, or exclusively licensed to JEGRONA Engineering Solution PLC remains the sole property of the Company. This includes:

  • JEGRONA brand identity, trademarks, service marks, and trade names including "JEGRONA," "JegTechnicalBid," and associated logos
  • Proprietary procurement review methodologies, operational frameworks, and service delivery systems
  • Platform source code, design elements, database structures, and technical architectures
  • Service templates, document frameworks, and analytical tools developed by JEGRONA personnel
  • All original content published on JEGRONA platforms and in service deliverables

Clients retain ownership of all original documents, organizational materials, and proprietary information submitted to JEGRONA for service purposes. JEGRONA obtains no ownership rights over client-submitted materials.

Service Deliverable Licensing JEGRONA grants clients a limited, non-transferable license to use service deliverables for the specific procurement purpose for which they were prepared. Clients may not commercially distribute, resell, or sublicense JEGRONA service deliverables to third parties.

Section 07

Confidentiality

JEGRONA treats all client information, submitted documentation, and organizational details as strictly confidential. The Company will not disclose client information to any third party except as required by applicable law or as explicitly authorized by the client in writing.

Clients acknowledge that service deliverables, methodologies, and proprietary JEGRONA materials constitute confidential information of the Company and agree to maintain confidentiality accordingly.

Mutual confidentiality obligations may be formalized through a separate Non-Disclosure Agreement (NDA) for engagements involving particularly sensitive procurement information, available upon request.


Section 08

Disclaimers

JEGRONA provides professional procurement guidance services based on its operational knowledge and expertise. The following disclaimers apply to all services:

  • No Guarantee of Award: JEGRONA does not guarantee that tender submissions prepared with its guidance will be awarded or evaluated favorably by any procuring entity
  • Not Legal Advice: JEGRONA services do not constitute legal advice. Clients requiring legal representation in procurement matters should engage qualified legal counsel independently
  • Regulatory Changes: Ethiopian procurement regulations may change. JEGRONA will make reasonable efforts to reflect current requirements, but clients are responsible for verifying compliance independently
  • Platform Availability: JEGRONA platforms are provided "as available" and may be subject to maintenance, updates, or temporary unavailability without notice
  • Third-Party Platforms: JEGRONA is not responsible for the operation, policies, or decisions of any Ethiopian government procurement portal, procuring entity, or evaluation committee

Section 09

Limitation of Liability

To the maximum extent permitted by applicable Ethiopian law, JEGRONA's aggregate liability to any client arising from or related to service engagements shall not exceed the total fees paid by that client for the specific service giving rise to the claim, in the twelve (12) months preceding the claim.

JEGRONA shall not be liable for any indirect, consequential, incidental, special, or punitive damages, including but not limited to loss of business opportunity, loss of contract award, reputational harm, or lost revenue, even if JEGRONA has been advised of the possibility of such damages.

Exclusions The above limitations do not apply to liability arising from JEGRONA's gross negligence, willful misconduct, or fraud. Nothing in these Terms excludes or limits liability that cannot be excluded under applicable Ethiopian law.

Section 10

Termination

Either party may terminate a service engagement with written notice, subject to the terms of the applicable service agreement. JEGRONA may immediately suspend or terminate service access in the following circumstances:

  • Material breach of these Terms of Service by the client
  • Discovery of fraudulent, deceptive, or illegal conduct in connection with the service engagement
  • Non-payment of invoiced service fees beyond agreed payment terms
  • Provision of materially false organizational or qualification information
  • Any conduct that, in JEGRONA's reasonable assessment, poses legal, reputational, or operational risk to the Company

Upon termination, the client's access to JEGRONA platforms and services will be suspended. All outstanding fee obligations remain enforceable. Sections relating to confidentiality, intellectual property, and limitation of liability survive termination.


Section 11

Governing Law & Dispute Resolution

These Terms of Service and all service engagements between clients and JEGRONA Engineering Solution PLC are governed by and construed in accordance with the laws of the Federal Democratic Republic of Ethiopia.

In the event of a dispute arising from or related to these Terms or any JEGRONA service engagement, the parties agree to first attempt resolution through good-faith negotiation for a period of not less than 30 calendar days.

Where negotiation fails to resolve the dispute, the matter shall be submitted to the competent courts of Addis Ababa, Ethiopia, which shall have exclusive jurisdiction over all disputes arising from or related to JEGRONA service engagements.


Section 12

Amendments to Terms

JEGRONA reserves the right to amend these Terms of Service at any time. Material amendments will be communicated through notice on JEGRONA platforms and, where applicable, by direct notification to existing clients.

Amendments take effect upon publication unless a later effective date is specified. Continued use of JEGRONA services following publication of amended Terms constitutes acceptance of the revised agreement.

Version Record Version 1.0 — Effective January 1, 2025. Initial publication applicable to all JEGRONA service platforms.
